Client Service Agreement

Effective Date: May 14, 2026

This Client Service Agreement ("Agreement") is entered into between Bryvio ("Company") and the Client ("Client") who acknowledges this agreement electronically.

1. Scope of Work

Bryvio agrees to provide services selected by the Client. Services may include, but are not limited to:

• Website design and development
• AI receptionist setup
• AI outbound systems
• SEO services
• CRM and automation setup
• Branding and creative services
• Advertising management
• Hosting and maintenance
• Consulting services

Specific deliverables, pricing, timelines, and included features will be outlined in the invoice, proposal, or selected package.

Any additional work requested outside the agreed scope may require additional billing.

2. Payment Terms

Client agrees to pay all invoices according to the agreed payment schedule.

Payments may include:
• Implementation/setup fees
• Monthly recurring service fees
• Advertising budgets
• Additional revisions or upgrades
• Custom feature requests

Bryvio reserves the right to:
• Pause work for unpaid invoices
• Suspend website or hosted services
• Delay project delivery for non-payment
• Terminate services for unpaid balances

All invoices are due by the listed due date unless otherwise agreed in writing.

3. Non-Refundable Fees

Implementation/setup fees are non-refundable once work has begun.
Monthly recurring fees, subscriptions, retainers, and service payments are non-refundable once billed.

4. Monthly Recurring Services

Recurring monthly services may include:
• Hosting
• Website maintenance
• AI receptionist services
• AI outbound systems
• SEO services
• CRM support
• Advertising management
• Automation support

Monthly services automatically renew unless canceled in writing before the next billing cycle.

Failure to pay recurring invoices may result in:
• Website downtime
• Hosting suspension
• Automation shutdown
• Removal of support access

5. Revisions

Reasonable revisions are included based on the selected package or agreement.

Major redesign requests, excessive revisions, or requests outside the original scope may require additional billing.

Bryvio reserves the right to determine what qualifies as excessive revisions.

6. Client Responsibilities

Client agrees to provide:
• Required content
• Branding materials
• Timely approvals
• Account access
• Communication necessary to complete the project

Bryvio is not responsible for delays caused by:
• Missing materials
• Delayed communication
• Third-party account issues
• Platform limitations

7. Ownership Rights

Final approved deliverables become the Client's property only after all invoices are paid in full.

Until full payment is received:
• Bryvio retains ownership of all work
• Bryvio may withhold files, launches, website transfers, or access

Bryvio retains ownership of:
• Internal systems
• Templates
• Automation structures
• Frameworks
• Processes
• Proprietary tools

Bryvio may display completed work in portfolios or marketing materials unless otherwise agreed in writing.

8. Hosting & Domain Responsibility

If Bryvio manages hosting or domains:
• Recurring payments are required to maintain services
• Failure to pay may result in website suspension or downtime

If the Client manages hosting or domains, Bryvio is not responsible for:
• Hosting outages
• Domain expiration
• Third-party technical issues
• DNS issues
• Server limitations

9. AI Automation Disclaimer

Client understands AI systems and automations may:
• Produce inaccurate responses
• Require updates
• Experience downtime
• Require human oversight

Bryvio does not guarantee:
• Perfect AI performance
• Specific business results
• Lead generation results
• Revenue increases
• Search engine rankings

Client agrees to monitor AI systems appropriately when used in live business operations.

10. Limitation of Liability

Bryvio shall not be liable for:
• Lost revenue
• Lost profits
• Indirect damages
• Business interruptions
• Third-party platform failures
• Advertising performance fluctuations
• Data loss caused by external systems

Maximum liability shall not exceed the total amount paid by the Client to Bryvio.

11. Termination

Either party may terminate services in writing.

Upon termination:
• Outstanding balances become immediately due
• Bryvio may remove access to hosted services
• Monthly services will stop at the end of the active billing cycle unless otherwise stated

Bryvio reserves the right to terminate services immediately for:
• Non-payment
• Fraudulent activity
• Abuse
• Violation of this Agreement

12. Governing Law

This Agreement shall be governed under the laws of the State of Arizona.

13. Agreement Acceptance

By checking the acknowledgment box and submitting your signup or payment, you electronically agree to all terms outlined in this Agreement, the Terms & Conditions, and the Refund Policy. Your acknowledgment is recorded with a timestamp and serves as your binding electronic signature.
